1. Acceptance of Terms
By accessing or using Vettra, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.
2. Eligibility
2.1 Age Requirement
You must be at least 18 years old or the age of majority in your jurisdiction (whichever is greater) to use our Service. By using Vettra, you represent that you meet this age requirement and have the legal capacity to enter into a binding contract.
2.2 Geographic Restrictions
Our Service is not available to users in countries subject to comprehensive sanctions by Canada, the United States, or the European Union, or to individuals designated on any sanctions list. By using our Service, you represent that you are not located in a sanctioned country and are not a prohibited person under applicable sanctions laws.
3. Description of Service
Vettra is a secure document sharing platform that allows:
- Personal users (for non-commercial use) to securely store documents, extract key information, and share documents or data with businesses
- Businesses to request documents, review shared information, and monitor document data without storing sensitive files
We provide tools for document storage, field extraction, encrypted sharing, and audit logging. We do not verify the authenticity or accuracy of documents uploaded to our platform.
4. Beta Service
Vettra is currently in beta. This means:
- Features may change, be added, or be removed without notice
- The Service may experience interruptions or downtime
- We may modify pricing or feature availability at any time
- By using the beta, you accept these conditions
5. Account Types
5.1 Personal Accounts
Personal accounts are free and allow individuals to store documents and share them with businesses.
5.2 Business Accounts
Business accounts allow organizations to request documents from individuals. Business pricing and features are described on our Pricing page.
6. User Responsibilities
You agree to:
- Provide accurate and truthful information when creating your account
- Keep your account credentials secure and not share them with others
- Notify us immediately if you suspect unauthorized access to your account
- Use the Service only for lawful purposes
- Comply with all applicable laws and regulations
7. Content Ownership and Responsibility
7.1 Your Content
You retain ownership of all documents and content you upload to Vettra. By uploading content, you grant Vettra a limited license to store, process, and display your content as necessary to provide the Service.
7.2 Your Responsibility
You are solely responsible for the documents you upload and share. This includes:
- Ensuring you have the right to upload and share the documents
- The accuracy and authenticity of your documents
- Any consequences resulting from sharing your documents
7.3 No Verification by Vettra
Vettra does not verify the authenticity, accuracy, or validity of documents uploaded to our platform. We are a technology platform that facilitates document sharing. We are not responsible for:
- Fraudulent, forged, or inaccurate documents uploaded by users
- Decisions made based on documents shared through our platform
- Any losses or damages resulting from reliance on shared documents
7.4 Recipient Responsibility
If you receive documents through Vettra, you are responsible for independently verifying their authenticity. Vettra's audit logs and cryptographic signatures indicate that a document was shared through our platform, not that the document itself is authentic or accurate.
Note: The name "Vettra" refers to the technology platform provided for document sharing. It does not imply that Vettra performs any active vetting, verification, or validation of documents or their contents.
8. Acceptable Use
You agree not to:
- Upload fraudulent, forged, or illegally obtained documents
- Impersonate another person or misrepresent your identity
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service
- Use automated tools to access the Service without our permission
- Harass, abuse, or harm other users
9. Document Sharing
When you share documents through Vettra:
- You control who receives your documents and for how long
- You can revoke access to shared documents at any time
- Shared documents may be watermarked to indicate their source
- You are responsible for your sharing decisions and any consequences of sharing
Recipients should understand that documents shared through Vettra have been uploaded by users, not verified by Vettra.
9.1 Mistaken Sharing
If you share a document with the wrong recipient, Vettra cannot reverse the transmission once the recipient has downloaded or viewed the file. You are responsible for revoking access and monitoring who you share your documents with. We encourage you to verify recipient details before sharing sensitive documents.
10. Intellectual Property
The Vettra platform, including its design, features, and technology, is owned by Vettra. You may not copy, modify, distribute, or create derivative works based on our platform without our written permission.
"Vettra" and our logo are trademarks. You may not use our trademarks without our written permission.
11. Service Availability
We strive to keep Vettra available, but we do not guarantee uninterrupted access. We may:
- Perform maintenance that temporarily affects availability
- Modify or discontinue features at any time
- Suspend the Service for security or technical reasons
During the beta period, service interruptions may occur more frequently.
12. Account Termination
12.1 Termination by You
You may close your account at any time through your account settings or by contacting support.
12.2 Termination by Vettra
We reserve the right to suspend or terminate your account immediately and without notice if we believe you have:
- Violated these Terms
- Engaged in fraudulent or illegal activity
- Uploaded fraudulent or harmful content
- Abused the Service or other users
We may remove bad actors from our platform at our sole discretion to protect other users and the integrity of the Service.
12.3 Effect of Termination
Upon termination, your access to the Service will end immediately. Your data, including uploaded documents and account information, will be scheduled for deletion in accordance with our Privacy Policy. Termination does not relieve you of obligations incurred before termination.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Service will be uninterrupted or error-free
- Warranties regarding the accuracy or reliability of documents shared through the Service
Vettra is not a verification authority. We do not guarantee the authenticity, accuracy, or validity of any document on our platform. Our Service should not be relied upon as legal, compliance, or professional advice.
VETTRA IS NOT A CONSUMER REPORTING AGENCY, A BACKGROUND CHECK SERVICE, OR A LEGAL FIRM. Our Service is not intended to be used for purposes regulated under the Fair Credit Reporting Act (FCRA) in the United States, the Consumer Reporting Act in Canada, or similar consumer protection laws in other jurisdictions.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETTRA SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, or business opportunities
- Damages resulting from fraudulent or inaccurate documents uploaded by users
- Damages resulting from decisions made based on documents shared through the Service
- Damages resulting from unauthorized access to your account
15. Indemnification
You agree to indemnify and hold Vettra harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Documents you upload or share
- Your violation of these Terms
- Your violation of any third-party rights
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
16.1 Arbitration
Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada. Arbitration shall take place in Ontario, Canada, and shall be conducted in English. The arbitrator's decision shall be final and binding.
16.2 Class Action Waiver
You agree to resolve any disputes with Vettra on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding against Vettra. This waiver applies to arbitration and any court proceedings to the extent permitted by law.
16.3 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
17. Force Majeure
Vettra shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet or telecommunications failures, or cyberattacks.
18. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website or sending an email to your registered address. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
